These Terms & Conditions ("Terms") form a binding agreement between you and Bokili ("Bokili", "we", "us") and govern your access to and use of the Bokili platform, websites, mobile experiences and related services (together, the "Service"). By creating an account or using the Service, you accept these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

These Terms are drafted with EU law in mind (including Directives 2011/83/EU, 2019/770/EU, 93/13/EEC, the Digital Services Act and the AI Act, Regulation (EU) 2024/1689). Nothing in these Terms limits any mandatory statutory right you have as a consumer or under applicable law. This page is a plain-language summary of our terms, not legal advice.

1. The Service

Bokili is an AI-fluency training platform. It provides guided missions, AI coach feedback, badges, analytics and an admin console to help teams learn to use AI tools safely and effectively. Features evolve over time; we may add, change or remove functionality, without materially degrading what you have paid for during your current subscription period.

2. Accounts & eligibility

You must be at least 16 years old, or the higher age of digital consent set by your Member State, to create an account. You are responsible for the accuracy of your registration information, for keeping credentials confidential, and for all activity under your account. Notify us at hello@bokili.com if you suspect unauthorised use.

3. Team plans & administrators

For Team plans, the entity that subscribes ("Customer") is responsible for its authorised users, for the content and instructions submitted through the account, and for compliance with these Terms. Customer administrators can invite, manage and remove users, view aggregated usage analytics, and control company-level settings (including domain-restricted access). For personal data of Team-plan users, the Customer is controller and Bokili is processor under a Data Processing Agreement — see our Privacy Policy.

4. Subscriptions, trials, renewal & cancellation

Paid plans are billed in advance on a monthly or annual basis, as selected at checkout. Free trials convert automatically into a paid subscription at the end of the trial unless cancelled beforehand. Subscriptions renew automatically for successive periods at the then-current price until cancelled. Where required by applicable law, we will send a renewal reminder before an annual renewal. You can cancel at any time from your billing settings in a few clicks; access continues until the end of the current paid period. Except where required by law (including the withdrawal right in section 5), fees already paid are non-refundable and no pro-rata refund is due for unused periods.

5. Consumer right of withdrawal (14 days)

If you subscribe as a consumer resident in the EU, you have 14 days from the day the contract is concluded to withdraw without giving any reason, in accordance with Directive 2011/83/EU. To exercise this right, send a clear statement to hello@bokili.com (a model withdrawal form is available on request). We will refund payments received from you without undue delay, and no later than 14 days after we are informed of your decision.

Because the Service provides immediate access to digital content and services, by starting to use the Service during the 14-day period you expressly request early performance and acknowledge that you will lose your right of withdrawal once the service is fully performed, or, for digital content, once performance has begun with your prior express consent. If you have not started to use the Service during the withdrawal period, the full withdrawal right remains available.

6. Legal guarantee of conformity

For consumers in the EU, the Service benefits from the legal guarantee of conformity under Directive (EU) 2019/770. This guarantee applies as provided by law; we do not offer any additional commercial warranty. To claim, contact hello@bokili.com describing the lack of conformity.

7. Taxes

Prices are exclusive of applicable taxes (including VAT), which will be added where required. Customers are responsible for any withholding taxes and for providing valid tax identification details when requested.

8. Acceptable use

You agree not to:

  • use the Service in violation of applicable law or third-party rights;
  • attempt to access, probe or disrupt the Service, other accounts, or underlying infrastructure;
  • reverse engineer, resell, or use the Service to build a competing product;
  • upload malware, unlawful, infringing, harassing or misleading content;
  • use the Service to submit personal or confidential data you are not authorised to share.

9. Use of AI features & AI Act compliance

Parts of the Service — including the "AI coach" and generated mission feedback — rely on artificial intelligence systems. In line with Article 50 of the AI Act, we make clear that when you interact with the coach or read its feedback, you are interacting with an AI system and reading AI-generated output. AI outputs can be incorrect, incomplete or biased and must be reviewed by a human before being relied on for any consequential decision.

You agree not to use the Service, or data produced by the Service, for:

  • any purpose that would qualify as a high-risk AI use under Annex III of the AI Act — in particular, individual employment decisions such as recruitment, promotion, termination, task allocation or performance evaluation of a specific employee. Bokili's adoption and skill analytics are intended for learning and training purposes only and must not be used as the basis for such decisions;
  • any of the practices prohibited by Article 5 of the AI Act, including social scoring, subliminal or manipulative techniques, exploitation of vulnerabilities, untargeted scraping of facial images, emotion inference in the workplace outside training feedback contexts, biometric categorisation of sensitive attributes, or predictive policing based solely on profiling;
  • generating illegal, deceptive, defamatory or infringing content, or content that impersonates a real person without their consent.

Where you act as a "deployer" of AI within the meaning of the AI Act, you remain responsible for the human oversight, information and record-keeping obligations that apply to you.

10. Your content

You retain all rights in the prompts, responses, files and other content you submit ("Customer Content"). You grant Bokili a worldwide, non-exclusive licence to host, process and display Customer Content solely to operate, secure and improve the Service for you. Any use of Customer Content for AI-model training is governed by our Privacy Policy and the applicable Data Processing Agreement.

11. Third-party AI tools & model providers

Bokili trains users on, and integrates with, third-party AI tools (including ChatGPT, Claude, Gemini, Copilot, Mistral and Perplexity). Those tools and models are provided by their respective owners under their own terms, privacy policies and AI-Act obligations, which apply in addition to these Terms. Trademarks belong to their respective owners. Bokili is independent and not endorsed by, sponsored by, or affiliated with those providers.

12. Intellectual property

The Service, including its missions, content library, software, design and trademarks, is owned by Bokili or its licensors and is protected by applicable IP laws. Subject to these Terms, Bokili grants you a limited, non-exclusive, non-transferable right to access and use the Service for its intended purpose.

13. Feedback

If you send us suggestions or feedback, you grant Bokili a perpetual, royalty-free licence to use them without restriction. We are not obligated to keep feedback confidential.

14. Suspension & termination

We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or its users. You may stop using the Service at any time. On termination, your right to use the Service ends and we may delete Customer Content after a reasonable retention period, except where retention is required by law.

15. Disclaimers

Except for the legal guarantee of conformity and any other mandatory statutory rights of consumers, the Service is provided "as is" and "as available". Bokili does not warrant that the Service will be uninterrupted, error-free or that AI outputs will be accurate, complete or suitable for a particular purpose. AI-generated content must be reviewed before being relied on for important decisions.

16. Limitation of liability

To the maximum extent permitted by law, Bokili's aggregate liability arising out of or related to the Service is limited to the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim, and Bokili shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill.

Nothing in these Terms excludes or limits Bokili's liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any liability that cannot be excluded or limited under mandatory applicable law (including EU consumer protection law).

17. Indemnification

If you use the Service in a business capacity, you agree to defend and indemnify Bokili against third-party claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law. This section does not apply to consumers.

18. Force majeure

Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, riots, labour actions, epidemics, government actions, internet or power failures, or failures of third-party providers.

19. Changes to the Service, price or Terms

We may update the Service and these Terms from time to time. Price increases affecting your subscription will be notified at least 30 days before taking effect for existing subscribers. Other material changes will be notified at least 15 days in advance. If you do not accept such a change, your remedy is to terminate your subscription before the effective date; you may continue using the Service until the end of your current paid period.

20. Complaints, mediation & online dispute resolution

If you have a complaint, please contact hello@bokili.com first — we aim to reply promptly and to resolve most issues informally. Consumers resident in the EU may also refer the dispute to a competent consumer mediator (in France, the médiateur de la consommation whose details will be provided on request) and may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

21. Governing law & jurisdiction

These Terms are governed by the laws of France, without regard to conflict-of-laws principles, and any dispute will be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

If you are a consumer, this choice of law and jurisdiction does not deprive you of the protection afforded by mandatory provisions of the law of the country where you have your habitual residence (Rome I Regulation, Article 6), and you may bring proceedings in, and be sued only in, the courts of your Member State of domicile (Brussels I bis Regulation, Articles 17–18).

22. Digital Services Act — contact point & illegal content

In accordance with the Digital Services Act, Bokili designates hello@bokili.com as the single point of contact for users, authorities and the European Commission. To report content or behaviour on the Service that you consider illegal, send us a notice at the same address describing the content, its location, and why you believe it is unlawful. We will assess and act on valid notices in a diligent and non-arbitrary manner, and will inform you of our decision and available remedies.

23. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms constitute the entire agreement between you and Bokili regarding the Service.
